Terms and Conditions

These Terms of Business (“Terms”) set out the basis on which I provide services to clients. By engaging my services, you agree to these Terms.

1. Scope of Services

I provide digital marketing, website design and development, branding, SEO, paid advertising management, and related creative and consultancy services.
The specific services to be delivered will be outlined in a proposal, quote, message, or recorded agreement between us.

2. Fees & Payment Terms

All pricing will be agreed before work begins.

Unless otherwise stated, all prices are exclusive of VAT (if/when applicable).

A deposit may be required before work commences.

Invoices must be paid within 14 days of the invoice date, unless agreed otherwise in writing.

Late payments may incur a £40 admin fee plus statutory interest at 8% plus the Bank of England base rate, in line with the Late Payment of Commercial Debts Act.

Work may be paused if payment is overdue.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information required to deliver the services.
  • Supply timely feedback, assets, logins, and approvals.
  • Ensure that any content (text, images, logos, video, etc.) you provide does not infringe any copyright or intellectual property rights.
  • I am not responsible for delays caused by late client feedback or missing information.

4. Intellectual Property

All work I create remains my property until full payment has been received.

Once paid in full, the final approved deliverables become yours to use for their intended purpose.

I may showcase the work in portfolios or promotional material unless agreed otherwise.

5. Revisions & Scope Changes

Projects include a reasonable number of revisions as stated in the proposal or agreement.

Requests outside the original scope (e.g., new features, extra pages, additional ad campaigns) will be quoted and billed separately.

6. Websites, Hosting & Maintenance

If I build a website that you host yourself, you are responsible for hosting, updates, backups, and security unless you have purchased a support/maintenance plan.

I cannot guarantee that websites will be uninterrupted or error-free, though I will use reasonable skill and care.

Third-party platform availability (e.g., WordPress, plugins, fonts, CRMs, booking systems) is outside my control.

7. SEO & Marketing Performance

Marketing and search engine performance can vary due to factors outside my control.
Therefore:

I do not guarantee specific rankings, traffic levels, or financial results.

I will provide best-practice, ethical, commercially reasonable work to achieve agreed goals.

8. Paid Advertising Spend

For paid ads (Google, Meta, etc.):

Your advertising spend is billed directly by the platform.

My management fee does not include ad spend unless explicitly stated.

9. Confidentiality

Both parties agree to keep confidential any private or business-sensitive information received from the other.

10. Cancellation & Termination

Either party may end a project or ongoing service with 30 days’ notice, unless otherwise agreed.

Work completed up to the termination date must be paid for in full.

Deposits are non-refundable unless I cancel the project before work begins.

11. Liability

To the fullest extent permitted by law:

I am not liable for indirect or consequential losses, including loss of profit, revenue, or data.

My total liability shall not exceed the total fees paid for the specific service in question.

12. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes will be handled in the courts of England and Wales.

Acceptance

By commissioning or continuing to use my services, you confirm your agreement to these Terms.
